Jim Reid, Con Man

In the late 1980’s, I worked for a company called Vestronix.  We built a C source code generator, called PRO-C.  During the period of time I worked there, our stock went from pennies, to over $4.00/share, and back to pennies. Many people (including yours truly) lost their shirts.  The company’s business plan was suspect, to be sure, but it was the combination of a group of overly enthusiastic stock promoters, and the work of a fraud artist, that caused the meteoric rise and fall of the stock.  You see, Jim Reid forged contracts, which company officials naively booked as revenue.  So, Jim was convicted and spent 19 months in jail in 1993.  In 1995, the principal promoter of the stock, Rob Kelly, was also convicted and fined $257,000.

Jim’s back, and he’s back at it!  This complaint alleges fraud on a scale that makes the Vestronix fraud look just plain silly.  It makes for fascinating reading.

    The good news is that Jim is being detained at a half-way house in Boston pending his trial. The US Attorney’s office (federal crimes) has a case against him Jan. 23, 2006. He has been in jail since last Thursday.

       When Jim Reid arrived on the doorstep of Digital Frog International Inc. last
    December, Celia Clark thought her prayers had been answered.

       The small company, which Clark runs with her husband Peter, was heavily in
    debt despite the award-winning educational software that it makes.

       Digital Frog needed a big sale to continue developing its products, but it
    didn’t have the money to hire a full-time salesman.

       Then along came Reid, of Titan Software Sales in Waterloo, who contacted the
    Clarks after reading a profile of their company in the newspaper.

       Reid presented himself as a well-connected salesman who was willing to sell
    Digital Frog’s software on a commission basis.

       ”An impressive commission-only salesman seemed like the answer to our
    prayers,” says Clark.

       It doesn’t seem like that now.

       Clark says Digital Frog is in worse financial shape than before, having spent
    hundreds of hours and thousands of dollars trying to land sales deals that didn
    ‘t exist.

       Her story, she says, is a cautionary tale for other small businesses.

       What Clark and her husband didn’t know when they engaged Reid to sell their
    software was that he was the same James E. Reid who had twice been convicted and
    jailed for falsifying sales contracts in 1981 and in 1993.

       He was also under investigation in the U.S. for more recent allegations,
    which led to charges this past spring. On April 27, Reid was indicted in a
    Massachusetts federal court and arrested at the border while trying to enter the
    U.S. from Canada.

       The U.S. Attorney’s Office alleges that Reid engaged in a scheme to defraud
    his former employer, Firepond Inc. of Waltham, Mass., by fabricating sales
    contracts with three Firepond customers between March 2001 and June 2002.

       Meanwhile, the U.S. Securities and Exchange Commission has launched a civil
    lawsuit over the same incidents. The SEC alleges that Reid used elaborate
    schemes to evade detection, including using impostors to mislead Firepond
    employees into believing a fake contract was legitimate.

       Reid, who is out on bail, told The Record that his lawyer advised him not to
    comment on the latest charges.

       But he denied Clark’s allegations and said he never misled Digital Frog.

       ”I said to them over and over and over and over again that there are no
    guarantees of any business until the money is in the bank,” Reid said in an
    interview.

       ”What we have . . . is a company that was desperate, who had their happy ears
    on and was looking to do business,” he said.

       ”They saw me as a saviour. I worked diligently for them; I did not
    misrepresent anything that they did or couldn’t do.”

       Clark disagrees.

       When Reid first approached Digital Frog last December, Clark says she had no
    reason to be wary of the affable salesman.

       Between December and April, Clark says, Reid convinced her and her husband
    that he was working on a couple of big deals for Digital Frog.

       She says her staff spent nearly 1,600 hours on meetings, software
    improvements and proposals for deals that Reid said were in the works.

       She also says the company spent about $9,000 on business trips for Reid.

       Then, near the end of April, Clark opened a copy of The Record and saw a
    story about Reid’s arrest in the United States and his previous convictions in
    Canada.

       She checked into the deals that Reid said he was working on for Digital Frog
    and she says she discovered that there was little or nothing there.

       Some meetings Reid told her were happening never took place or were never
    scheduled to happen.

       ”We were shell-shocked,” says Clark.

       She cites a deal that Reid says he was working on with the Nestle Foundation,
    a Switzerland-based research institution that was started by the giant Nestle
    S.A. but operates independently from it.

       Clark says Reid had Digital Frog convinced that he had set up a meeting for
    May 6 to formalize a sales deal involving customized software for the
    foundation.

       ’COME BACK WITH A CHEQUE’

       Reid also told them, says Clark, that several representatives from Digital
    Frog had to be ready to go to Switzerland to meet Nestle officials and “come
    back with a cheque.”

       Staff at Digital Frog worked feverishly to prepare for the meeting, says
    Clark. They developed a software prototype, web screens for a “World of Nestle”
    component, and a customized online tool, all on Reid’s advice, Clark says.

       After Clark found out about Reid’s criminal past in late April, she says she
    contacted people at both Nestle S.A. and the Nestle Foundation.

       She was told the foundation was not aware of any meeting with Digital Frog
    and there was no indication the organization would ever consider the company’s
    proposal.

       Clark discovered that Reid had contacted Tim Wolfe, corporate contributions
    manager for Nestle S.A., and that Wolfe had told Reid that he should send the
    Digital Frog proposal to Elisabeth Muller of the Nestle Foundation.

       In an e-mail exchange with Muller, Clark learned there was no meeting on May
    6; that Muller never spoke to Reid; and that Muller was not aware of the
    Digitial Frog proposal until Clark contacted her.

       DENIES REPORT OF MEETING

       Reid denies ever telling Digital Frog that there would be a meeting in
    Switzerland in May. He also denies that he ever claimed to have talked to
    Muller.

       Reid does say, however, that after speaking with Wolfe, he believed that
    Nestle might be interested in Digital Frog’s software if the product were more
    relevant to it, and so he tried to get Digital Frog to work to that end.

       Meanwhile, Clark checked into other meetings that she says Reid had suggested
    were taking place.

       She says Reid said he had contacts at software giant Oracle Corp. that could
    help resurrect a previous effort by Digital Frog to sell educational software to
    the California Department of Education.

       Clark says she received an e-mail from Reid on March 22 that said: “Oracle
    meeting with CDE (California Department of Education) went well, have more
    requirements, etc.”

       When Clark checked into it later, she learned that officials at the
    California Department of Education had not met with anyone from Oracle about
    Digital Frog.

       Asked about this, Reid gave The Record the name of Barbara Thalacker as his
    contact at the California Department of Education.

       In an interview, Thalacker said she didn’t recall Jim Reid and that there
    were no meetings she knows of between Oracle and officials from the California
    Department of Education.

       Since ending their relationship with Reid in April, Clark and her husband
    have laid off six employees and stopped work on newer versions of their
    software.

       Celia Clark says her company was about $200,000 into its line of credit
    before Reid came along, and she acknowledges that she may have had to lay off
    staff regardless.

       But she says Reid made the company’s situation worse. Digital Frog would not
    have invested so much time, effort and money for five months on these proposals
    if Reid had not given them a reasonable expectation of a return, she says.

       ”Everybody understands when you invest in these things, there is a
    possibility it is a waste of money, but you usually invest on factual truths,”
    she says.

       FILLING SOFTWARE ORDERS

       The Clarks are now filling orders for the existing software to pay off the
    company’s debt, and Celia Clark hopes that an educational software publisher
    might buy the company or its intellectual property.

       She says she doesn’t plan to take legal action against Reid, but she says her
    company’s story should be a lesson to other business owners.

       In hindsight, she says, she should have contacted the people Reid claimed he
    was meeting on sales trips.

       She also wishes she had done more checking into his past. But she says when
    her staff looked up his name on the Internet, “there was nothing to contradict
    what he said.”

       Reid also gave Digital Frog a Power-point presentation with accolades from
    well-known corporate figures such as Jim Balsillie, co-chief executive of
    Research in Motion in Waterloo.

       But Balsillie told The Record he has never met Reid and doesn’t know anything
    about him or his services.

       Although Digital Frog was skeptical of Reid at first, “we reasoned if he did
    not get paid until we got paid, we had nothing to lose,” Clark says.

       ”It all seemed a bit too good to be true,” she says, “and my mother used to
    say, ‘If it seems too good to be true, it usually is.’ ”

    Are any of your readers able to provide an update on the outcome?

    Despite being an executive leader or director of a church, JR is a fundamentally sick person, and it would be nice to know that US Justice eventually caught him, particularly when his slippery associates helped him evade potential convinction on more than 31 charges of fraud in Canada.

    I just met a “Jim Reid” from Waterloo, Ontario in Toronto who was recruiting for a startup business called Increase Sales Effectiveness (www.increasesaleseffectiveness.com). The moment I shared with him that something was not quite “Kosher” with his business and his professionalism, he was agressive, abusive and rude. Not sure if it’s the same Jim Reid but it certainly sounds like it could be….

    Christine - I have been in talks with a “Jim Reid” from the same company - he is recruiting for his business. I was connected to him through a very good source. However, I received an “agreement” from him which is very vague and am having it looked over by my colleague, who is somewhat taken aback with this document, full of holes and not “concrete” at all.

    Contacted the US District Court regarding the complaint filed by the SEC against Reid for the Firepond fraud. A “final judgement by default” was rendered and Reid was ordered to pay a total of $263,641.39 for “ill-gotten gains”. This was on December 3 2004.

    So what was post #3 referring to? I can’t find any reference to another action or trial anywhere.

    The final judgement I found above was for the civil suit filed by the SEC.

    The criminal case against Reid for Mail Fraud and Wire Fraud appears to be ongoing. Looks like this is what post #3 referred to. Most recent activity listed in US Federal Court system is from November 13 2006 when Reid’s lawyers advised the court that he is “in Canada, in a hospital”. At that time the case was ordered to continue to trial “once the defendant is in the US and able to appear in court”.

    FYI- I was hired by Jim Ried (and yes, its the Jim from waterloo) to work at a company “Mulvany Attard & Associates”. They were a small software company in Richmond Hill, Ontario. He talks a big game, but eventually if was found out that he indeed was forging documents and mislead sales opportunities. He once even asked my to make a call pretending to be from FEMA once, to another one of “clients”. He sells himself as a software conslutant to go in and revamp or help grow the company. Anyway, he didn’t succeed he too much damage but he is still at it.

    This same Jim Reid from Waterloo forged contracts and purchase orders for a company that I worked for in Mississauga called “[redacted]“. This caused the company to do a large layoff effecting may peoples lives. The president of this company testified against Jim at his trial. I can’t believe that he is back in Canada ripping people off again.

    Run from this guy, do not do business with him. He’s a criminal.

    Mark, the person I contacted at the US District Court told me that all public documents for ALL trials in the United States can be found on a system called “PACER”. It didn’t make sense that they directed me here since they included a copy of the civil trial judgement with their e-mail. I figured it was a hint that I could find more info on Reid.

    It costs $0.08 per page to access/view, and you have to give them your credit card, but it’s well worth it when you find out this kind of info.

    I just wish I could figure out how to get this sleazeball into the US without getting myself charged with kidnapping…

    Just an update on the criminal case. I spoke with the docket clerk at the District Court in Massachusetts to confirm that the warrant is still outstanding and valid. It is. Basically it sounds like if Reid sets foot onto US soil he’ll be arrested on the spot, shipped back to Mass, and held for trial. The clerk doesn’t know if extradition has been requested - I’d have to call back to the US Attorney’s Office to find that out, which I still might do. I’m thinking that if there’s anything I can do to help get this guy behind bars it’s worth it!

    When I was speaking with the clerk he asked for the docket number and name. When I told him Reid’s name the clerk said “oh THAT guy”! Can you believe it? How many cases must a docket clerk deal with on a daily basis? For him to remember Reid makes me think that he must really be trying to screw the court around. Nice of him to give Canadians a blight by being such an asshole.

    Two good things are coming out of this blog. First, the new activity on this blog has moved it waaaaay up in the Google listings so people are much more likely to find it when doing a search on this creep. Second, it’s probably somewhat therapeutic for many people to see that justice still might be served.

    I for one will continue to provide updates on anything I hear.

    Stealth - you are true to your handle - way to go!

    I am betting that he will seek refuge in Canada and if he were to be arrested in Canada would fight extradition. That said, from what i know about extraditions, if the Canadian authorities were also pursuing a case against him, or had reason to believe he were committing similar crimes within Canada, they’d have no qualms about shipping him stateside.

    What i don’t understand is his motivation to scheme in this way, as it is guaranteed to fail if in the end there is never a sale. Is he just an egomaniac trying to forestall failure? I am not a criminal psychologist but I just don’t see what is to be gained long term from his behavior - he never gets away with it! It makes no sense to me, but then again I’m not an unethical jerk.

    Okay, this just keeps getting better.

    Apparently Reid’s current company, Increase Sales Effectiveness, is making a complete farce of itself with something he’s calling a “Solutions Seminar Series”. He’s holding a bunch of sales seminars across Canada right now. Content sounds pretty neat, but nobody’s showing up! I heard that the sponsors and presenters were expecting almost 100 participants, including over half from relationships that Reid claimed he had with Oracle, Microsoft, and IBM. Ended up that only about a dozen people showed up! Sounds like suddenly everyone realized just how full of crap Reid is and they’re going to pull out of the seminars.

    Now that’s gotta cost a lot of money… Unfortunately it’s likely everyone else that will suffer because you can bet dollars to donuts that he’ll bounce cheques all over the place. I heard he’s been doing this with paycheques for the poor staff for quite a while and taking weeks to get caught up…

    Mark, you ask where is motivation is? My guess is it’s desperation from a desperate “man” (yes, in “” because a real man wouldn’t pull this kind of crap - he probably kicks his dog, hits his wife, and drives drunk too). Who knows - maybe everything with this ‘Increase Sales Effectiveness’ is 100% legit and above board and he’s using it to try to make money to live. But it sure looks like he’s been lying through his teeth to make himself sound like Mr. Wonderful.

    More details to come…keep coming back so the Google search moves him higher and higher in the search so nobody else gets caught up by him…

    Just confirmed with the United States Attorney’s Office in Boston that they ARE PURSUING EXTRADITION OF MR. REID!!!

    It can be a long process, and he most certainly will fight it, but the US Government wants him badly enough to invest the time and money to try to get him onto US soil for the trial!

    Jim Reid is about as close to a Sociopath as any of us will get. He could and should be featured in a book like Snakes in Suits, but that would likely just feed his ego.

    Having “worked” with him and having gotten screwed over by bounced cheques, I think the sad reality is that in Jim’s convoluted world, he may actually start to believe he’s closing deals. And in a working environment, when you confront him with the truth, or dare to point out the inconsistencies in many of his own statements, he just claims that he never said that, or that you misunderstood, or commences some other evasive and deceptive actions to avoid accountability… And then he begins to feed more off his own ego, or others’ fears, and this makes him more unscrupulous or arrogant.

    He is a depraved individual with little conscience and no integrity. If he’s supposedly in hospital, its likely because he’s duped or conned a kind-hearted medical professional into believing he’s actually sick, instead of a rotten con-man. I hope the US Justice system prevails in securing his extradition. He belongs in jail or some other type of asylum … the sooner the better. Sayonara Jim and good riddance.

    Hey, nice to find some people to commiserate with. Jim Reid came to us at Digital Frog in 2003. He offered to try and generate some sales for us, completely on spec. Said he was retired and looking for something to occupy his time. He falsified something like 3.5 million in sales. Wasted huge amounts of company time in creating prototypes for imaginary contracts. He put an amazing amount of work into creating documentation for the fake contracts. The only thing he got out of us was a trip to Switzerland, but never any actual money. Still, it was enough to permanently cripple the company.

Certainly, if he is banned from the States, that means he’s spending his time preying on Canadian companies. Not good for the economy, I say.

    Well it does indeed look like “Increase Sales Effectiveness” is imploding around Mr. Reid. Staff are jumping ship left and right because of bounced paycheques, the presenters for his “Solutions Seminar Series” have pulled out (again, bounced cheques), and even the Canadian Professional Sales Association has terminated its endorsement of the seminars (guess what - more bounced cheques!). The CPSA has even revoked Reid’s membership in the association!

    Shouldn’t be long until all Reid has left is himself trying to peddle his “consulting” services. No more software distributorships, no more associations with professional organizations, nothing. Just an extradition order working its way through the system.

    I’d like to see Jim personally incarcerated and then impersonally violated - perhaps like a Turkey, but I digress.

    On another happy note of things to be thankful about, I wonder how many of the companies listed in his website of past clients feel about “endorsing” a known felon and a serial con-man? PO’ed I reckon.

    On the good news frontier, the US should be able to obtain an extradition order, as it is only through their own good will that Jim was released after being arrested in Buffallo. If the long arm of the law was flexible enough to let JR travel back across the border, then I’m certain it can reach in and grab the bloody bastard. Perhaps by the US thanksgiving, we can all be more thankful too.

    A bit overdue for an update, so here goes.

    My Sept 22nd post has indeed come true. Mr. Reid doesn’t have much of a business left. He’s left a long trail of bounced cheques to employees and suppliers. Lots of talk about small claims court, the Ministry of Labour has several active files, and the local police might even be looking into his activities.

    For anyone who has been burned by Mr. Reid’s despicable business ethics, there IS something you can do. Write a letter detailing what he did to you (it doesn’t have to be long) and send it to:

    Be sure to reference Case Number 04CR10031WGY - United States of America v. James E. Reid.

    The letter won’t play a role in extradition or during the trial for this case, but it WILL be taken into account when sentencing Mr. Reid. If the court sees that Mr. Reid has continued to screw people over, the sencence will likely be increased versus what it would be otherwise.

    The maximum sentence for each count that Mr. Reid is facing is 5 years in prison and a $250,000 fine. For EACH count! He is facing TEN counts! I doubt that someone like Reid would get the maximum, but regardless he’s looking at some serious time!

    One other thing that absolutely blew me away. The US court documents even have an ALIAS listed that Reid uses - Donald Reid. Incredible!

    Hunter, Reid is really easy to find. The business address for ISE that is listed on the website (which is back up by the way) is his home in Waterloo. And K, I’m sure you’re right that the companies listed on Reid’s ISE website would be less-than-impressed to know about his ethics. It wouldn’t surprise me if someone put a bug in their ear…

    Well, thanksgiving has come and gone - doesn’t appear the readers of this thread have much to be thankful for… It has been 32 months since his arrest and 24 months since his second apprehension and yet he is still free. Justice does not move swiftly; still no sign of extradition.

    Thanks to everyone for their comments, and for helping keep this vigil alive. While justice may be slow, it should arrive … eventually. In the meantime, congratulations and thanks to Alec for creating this forum, and thanks to all of the people who’ve posted remarks and visited. At the very least, perhaps a few would-be victims also managed to find their way to this site, and thus, have not fallen prey to this loathsome scumbag. I just hope that the authorities are vigilant and not duped by Jim’s bogus claims of poor health. Apart from his weight, the only thing wrong with Jim is his psyche, his lack of integrity, and his habitual sociopathic tendencies. Let’s keep this fat old bastard on google’s radar, and hope for the best in 2008. Who knows, perhaps some of the decent folks at the Church of the Good Shepherd can pray along. If the FBI dude’s prevail, some folks near Jim’s cell may yet get to hear the fart lardy sing.

    Mr. Reid’s home in Waterloo, Ontario has been for sale for the past few weeks. MLS #0811915. Asking $334,900.

    I wonder if that’s enough to pay back what he owes to everyone? Not that he’d use the money for that I’m sure.

    My big concern is that he’ll disappear and nobody will be able to find him to execute the extradition order once it makes its way through the system.

    Any ideas?

    Hey, I just tried going to the website for Increase Sales Effectiveness. It’s gone.

    If you try entering it in Google, the first hit says “We regret to inform you that Increase Sales Effectiveness is no longer in business.”

    Not much of a surprise there, but adds to my concern that Reid is going to try to run. Unless the extradition has already gone through and he’s been arrested??? Does anyone have a way of finding this out?

    No extradition yet. He is still at his home. Its not like he’s hiding. He is just waiting at home for something to happen I guess. Hey maybe he’ll get a conscience and turn himself in.

    As for his house, I pity the people who buy it with all the leins against it!

    We ran into Jim recently, and his manner of doing business left us seeing red flags and hearing alarm bells.

    Anyone know the latest status on Mr. Reid? I’ve heard he’s trying to claim that he’s been in hospital for the past three months, but I know someone who saw him at an event in Waterloo a few weeks ago.

    Anyone know for sure if he’s in or out of hospital? My guess is he’s trying the hospital thing to try to avoid getting hauled in!

    Does anyone know if Reid has any sons? Particularly interested if he has a son David? I’m pretty sure he only has 2 daughters?

    Regarding children, Jim has two daughters and no sons. One lived in Waterloo and the other worked / taught / conducted research at McMaster University.
    Regarding hospitalization, this too has to be another ruse to avoid accountability. I hope he’s running out of tricks and that the authorities don’t believe his excuses.

    Thanks K. It’s been verified by a number of different people that Jim does only have the 2 daughters, and that he has NOT been in the hospital.

    At least one Ministry is closing in.

    Apparently Jim has been to visit emerg with chest pains but there have not been any admissions in the last 3 months. Since his bypass he has not been cleared by his MD to return to the states.

    He was in fact admitted to the hospital in late February for his heart.
